1. Introduction

Welcome to Zenutri. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," "your") and Zenutri Pty Ltd (ACN 667 290 137), an Australian proprietary limited company trading as Zenutri Vitamins ("Zenutri," "we," "us," "our"). Zenutri operates the website located at zenutri.com.au ("Website") and provides personalised vitamin and supplement recommendation services, quiz-based health assessments, curated product bundles, subscription-based delivery programs, and related e-commerce services (collectively, the "Services").

By accessing, browsing, or using the Website or any of the Services — including completing our personalised health quiz, purchasing products, subscribing to a delivery plan, or engaging with any content published on the Website — you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree to any provision of these Terms, you must immediately cease using the Website and Services.

These Terms should be read in conjunction with our Privacy Policy, Shipping Policy, Refund and Returns Policy, and any supplementary terms displayed at the point of purchase or subscription. In the event of a conflict between these Terms and any supplementary terms, the supplementary terms shall prevail to the extent of the inconsistency.

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth), Schedule 2 (Australian Consumer Law, "ACL"), or any other applicable legislation that cannot be lawfully excluded, restricted, or modified.

2.Definitions and Interpretation

In these Terms, unless the context otherwise requires:

"ACL" means the Australian Consumer Law, being Schedule 2 of the Competition and Consumer Act 2010 (Cth).
"Account" means the registered user account you create on the Website.
"Bundle" means a curated combination of Zenutri Products assembled based on health priorities, quiz results, or predefined wellness categories.
"Content" means all text, graphics, images, logos, icons, audio, video, software, data compilations, page layouts, and underlying code forming part of the Website.
"Goods" means any physical products, including vitamins, supplements, and packaging, supplied by Zenutri.
"Listed Product" means a product listed on the Australian Register of Therapeutic Goods ("ARTG") administered by the TGA, carrying an individual AUST L registration number.
"Quiz" means Zenutri's proprietary online health and lifestyle assessment questionnaire used to generate personalised product recommendations.
"Subscription" means a recurring delivery arrangement for Bundles or individual Products at defined intervals.
"TGA" means the Therapeutic Goods Administration, the Australian Government authority responsible for regulating therapeutic goods under the Therapeutic Goods Act 1989 (Cth).
"Website" means zenutri.com.au and all associated subdomains, microsites, and mobile-optimised versions.

Words importing the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation. A reference to legislation includes all subordinate legislation, amendments, re-enactments, and replacements.

3. Eligibility, Access, and Account Registration

The Website and Services are intended for individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements under Australian law. By using the Website, you represent and warrant that you meet these eligibility requirements. Individuals under 18 may use the Website only under the direct supervision and with the express consent of a parent or legal guardian, who shall be responsible for the minor's compliance with these Terms and for all activities conducted under the minor's access.

To access certain features of the Services — including placing orders, managing Subscriptions, and viewing personalised recommendations — you may be required to create an Account. You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information. You are solely responsible for safeguarding your Account credentials and for all activity that occurs under your Account. Notify Zenutri immediately of any unauthorised use or suspected breach of security at info@zenutri.com.au.

Zenutri reserves the right, at its sole discretion, to refuse registration, suspend, or terminate any Account, or restrict access to all or part of the Website or Services, without prior notice, if we reasonably believe that you have breached these Terms, engaged in fraudulent or unlawful conduct, or if continued access would be detrimental to Zenutri, other users, or third parties.

4.Quiz, Personalised Recommendations, and Health Disclaimer

4.1 Nature of the Quiz

Zenutri's personalised vitamin recommendation service utilises a proprietary online Quiz comprising multiple questions relating to your age, sex, lifestyle, dietary habits, health priorities, existing medical conditions, and current medication use. The Quiz generates a personalised Bundle recommendation of between three (3) and five (5) products tailored to your responses.

4.2 User Responsibility for Accuracy

You acknowledge and accept that you bear sole responsibility for the truthfulness, accuracy, and completeness of all information you provide through the Quiz. The quality and suitability of the recommendations generated depend directly on the information you provide. Zenutri shall not be liable for any recommendation that is inaccurate, unsuitable, or inadequate as a result of information you have provided that is false, misleading, incomplete, or outdated.

4.3 Not Medical Advice

The recommendations provided by Zenutri do not constitute medical advice, diagnosis, treatment, or prescription. Zenutri is not a medical provider, healthcare facility, pharmacy, or allied health service. The Quiz and its outputs are informational tools designed to assist you in making informed decisions about dietary supplementation. They are not a substitute for professional medical consultation, examination, or treatment.

You are strongly and unequivocally advised to consult a qualified healthcare professional — including but not limited to a general practitioner, pharmacist, dietitian, or specialist — before commencing, modifying, or discontinuing any vitamin, mineral, or dietary supplement regimen, particularly if you:

  1. are pregnant, planning to become pregnant, or breastfeeding;
  2. have a pre-existing medical condition (including but not limited to cardiovascular disease, diabetes, liver or kidney impairment, thyroid disorders, autoimmune conditions, or bleeding disorders);
  3. are currently taking prescription or over-the-counter medication, including anticoagulants (e.g., warfarin), antidepressants, immunosuppressants, or oral contraceptives;
  4. have a known allergy or hypersensitivity to any ingredient, excipient, or compound (including shellfish-derived ingredients);
  5. are under the age of eighteen (18); or
  6. have been diagnosed with or are being treated for any serious health condition.

4.4 Safety Exclusion Logic

The Quiz incorporates safety screening questions designed to exclude certain products based on your disclosed medication use, allergies, and health status. These exclusion protocols are risk-mitigation measures and are not substitutes for professional medical assessment. No automated system can account for every individual clinical circumstance, drug interaction, or contraindication.

4.5 TGA-Listed Products

Zenutri's proprietary formulations are listed on the Australian Register of Therapeutic Goods (ARTG) as "Listed" medicines under the Therapeutic Goods Act 1989 (Cth). Each product carries an individual AUST L registration number. Listed medicines are assessed by the TGA for quality and safety of ingredients. Always read the label and follow the directions for use.

IMPORTANT NOTICE: Vitamin and mineral supplements should not replace a balanced diet. Supplements may only be of assistance if dietary intake is inadequate. If symptoms persist, consult your healthcare professional. Always read the label and follow the directions for use. These products are not intended to diagnose, treat, cure, or prevent disease.

5. Products, Bundles, Pricing, and Orders

5.1 Product Information

Zenutri endeavours to provide accurate descriptions, ingredient lists, dosage information, and imagery for all products displayed on the Website. In the event of a material error in product information, Zenutri reserves the right to correct the error and, where an order has been placed, to cancel or amend the order after notifying you.

5.2 Business Model

Zenutri operates a quiz-first direct-to-consumer model. The primary purchasing pathway directs you through the Quiz, which recommends a personalised Bundle. Alternatively, you may purchase from the curated Bundles collection or general wellness bundles. Individual product pages exist for informational and regulatory purposes and are not the primary customer-facing purchasing interface.

5.3 Pricing

All prices displayed on the Website are in Australian Dollars (AUD) and are inclusive of Goods and Services Tax (GST) where applicable, unless otherwise stated. Zenutri reserves the right to modify prices at any time without prior notice. Price changes will not affect orders that have already been confirmed. Promotional pricing and discount codes are subject to their own terms and conditions.

5.4 Order Acceptance

Placing an order on the Website constitutes an offer by you to purchase the Goods. All orders are subject to acceptance by Zenutri. An order is accepted only when Zenutri dispatches the Goods and sends a dispatch confirmation. Zenutri reserves the right to refuse or cancel any order for any reason, including product unavailability, pricing errors, or suspected fraud.

5.5 Payment

Payment must be made at the time of order via the payment methods accepted on the Website. Payment processing is facilitated through third-party payment gateways (including Shopify Payments and/or Stripe). Zenutri does not store your full credit card or payment details on its servers. By providing payment information, you represent that you are authorised to use the nominated payment method.

6. Subscriptions and Recurring Orders

6.1 Subscription Service

Zenutri offers a Subscription service that enables you to receive recurring deliveries of your personalised Bundle or selected products at intervals you specify. By subscribing, you authorise Zenutri to charge your nominated payment method on a recurring basis at the applicable Subscription price until you cancel.

6.2 Subscription Management

You may modify, pause, or cancel your Subscription at any time by accessing your Account dashboard or by contacting Zenutri at info@zenutri.com.au. Modifications or cancellations must be made at least forty-eight (48) hours before the next scheduled renewal date to take effect for that billing cycle. Cancellation requests received after the renewal charge has been processed will take effect from the subsequent billing cycle.

6.3 Renewal Reminders and Price Changes

Zenutri will send you a renewal reminder email to the address associated with your Account no less than seven (7) days before each scheduled renewal, confirming the renewal date and the amount to be charged. If a price increase applies to your Subscription, Zenutri will provide you with at least fourteen (14) days' written notice before the new price takes effect. Your continued Subscription after the notified date constitutes acceptance of the revised pricing. If you do not agree, you may cancel your Subscription before the price change takes effect.

6.4 Failed Payments

If a recurring payment fails, Zenutri may reattempt the charge up to three (3) times over a period of seven (7) days. If all attempts fail, your Subscription may be paused or cancelled. Zenutri is not liable for any interruption in service resulting from failed payments.

7. Shipping and Delivery

Zenutri ships products to addresses within Australia and, where specified, to selected international destinations. Estimated delivery timeframes are indicative only and are not guaranteed. Risk of loss and title to Goods pass to you upon delivery to the carrier. Zenutri is not responsible for delays caused by the carrier, customs processes, force majeure events, or circumstances beyond our reasonable control. 8.Returns, Refunds, and Consumer Guarantees

8.1 Australian Consumer Law Guarantees

Our Goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the Goods repaired or replaced if the Goods are not of acceptable quality and the failure does not amount to a major failure.

8.2 Change of Mind

Subject to applicable law, Zenutri does not accept returns or provide refunds for change of mind. Due to the nature of therapeutic goods and health products, opened or used products cannot be returned for hygiene and safety reasons unless the product is defective or otherwise fails to meet a consumer guarantee.

8.3 Damaged or Defective Goods

If you receive Goods that are damaged, defective, or materially different from what was ordered, please contact us within seven (7) days of delivery at info@zenutri.com.au with photographic evidence. Zenutri will, at its election, replace the affected Goods, provide a refund, or offer store credit, in accordance with the ACL.

8.4 Return Process

All returns must be authorised by Zenutri prior to dispatch. Unauthorised returns may not be accepted or refunded. Return shipping costs for defective or incorrect Goods will be borne by Zenutri. Return shipping costs for any other returns will be borne by you.

9. Limitation of Liability and Indemnification

9.1 Limitation of Liability

To the maximum extent permitted by law, and subject to Clause 8.1 (consumer guarantees that cannot be excluded), Zenutri, its directors, officers, employees, agents, contractors, and affiliates shall not be liable to you or any third party for:

  1. any indirect, incidental, special, consequential, punitive, or exemplary damages;
  2. any loss of profit, revenue, business, anticipated savings, goodwill, or data;
  3. any personal injury, illness, adverse reaction, or health complication arising from your use of, reliance on, or consumption of any product recommended through the Quiz or purchased through the Website, where such use was contrary to the product label, these Terms, or professional medical advice;
  4. any inaccuracy in recommendations generated by the Quiz where such inaccuracy results from information you provided that was false, incomplete, or misleading;
  5. any loss or damage arising from unauthorised access to or alteration of your transmissions or data;
  6. any interruption, suspension, or termination of the Website or Services; or
  7. any conduct or content of any third party on the Website,

whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Zenutri has been advised of the possibility of such damage.

9.2 Aggregate Liability Cap

Where liability cannot be excluded, Zenutri's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to Zenutri in the three (3) months immediately preceding the event giving rise to the claim. Nothing in this clause limits Zenutri's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited under Australian law.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Zenutri, its directors, officers, employees, agents, contractors, licensors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. your use of, or inability to use, the Website or Services;
  2. your breach of these Terms or any applicable law or regulation;
  3. your violation of any rights of a third party;
  4. any information you provide through the Quiz or Account that is inaccurate, misleading, or incomplete; or
  5. any claim by a third party related to your use of the Goods.

10. Intellectual Property

All Content on the Website — including but not limited to text, graphics, photographs, logos, trademarks, service marks, trade names, icons, designs, software, source code, algorithms, proprietary quiz logic, product formulations, and compilations of data — is the exclusive property of Zenutri or its licensors and is protected under the Copyright Act 1968 (Cth), Trade Marks Act 1995 (Cth), and applicable international intellectual property treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and Content for personal, non-commercial purposes only. This licence does not include the right to:

  1. reproduce, duplicate, copy, sell, resell, distribute, or exploit any Content for commercial purposes;
  2. modify, adapt, translate, reverse engineer, decompile, or disassemble any software forming part of the Website;
  3. remove, alter, or obscure any copyright, trademark, or other proprietary rights notices;
  4. use data mining, robots, scraping, or similar automated data gathering tools on the Website; or
  5. frame or mirror any portion of the Website without Zenutri's prior written consent.

11.Privacy and Data Protection

Zenutri is committed to handling your personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles ("APPs"), and any applicable state or territory legislation. Our collection, use, storage, disclosure, and disposal of personal information is governed by our Privacy Policy, which forms an integral part of these Terms.

Health-related information collected through the Quiz constitutes "sensitive information" under APP 3 of the Privacy Act 1988 (Cth) and is handled with a higher standard of care. By completing the Quiz, you expressly consent to the collection and use of such sensitive information for the purpose of generating personalised supplement recommendations.

In the event of a data breach likely to result in serious harm to individuals whose information is involved, Zenutri will notify affected individuals and the Office of the Australian Information Commissioner (OAIC) in accordance with the Notifiable Data Breaches scheme under Part IIIC of the Privacy Act 1988 (Cth).

Where Zenutri discloses personal information to overseas third-party service providers (including RevenueHunt for quiz processing and Klaviyo for email communications), Zenutri remains accountable under APP 8 for the handling of that information as if the disclosure were Zenutri's own act. You may request access to, correction of, or deletion of your personal information by contacting info@zenutri.com.au.

12. Electronic Communications and Marketing

By providing your email address or mobile number, you consent to receiving transactional communications from Zenutri, including order confirmations, dispatch notifications, Subscription renewal reminders, and Account-related alerts. These communications are necessary for the performance of our contractual obligations and are not considered commercial electronic messages under the Spam Act 2003 (Cth).

You may separately opt in to receive marketing and promotional communications from Zenutri. You may withdraw consent to receive marketing communications at any time by using the unsubscribe mechanism in any marketing email or by contacting info@zenutri.com.au. Withdrawal of marketing consent does not affect transactional communications.

13. Prohibited Conduct

In using the Website and Services, you agree not to:

  1. use the Website for any unlawful, fraudulent, harmful, or deceptive purpose;
  2. provide false, misleading, or deceptive information in the Quiz, Account registration, or any communication with Zenutri;
  3. impersonate any person or entity, including Zenutri staff or representatives, or misrepresent your affiliation with any person or entity;
  4. interfere with, disrupt, or place an unreasonable burden on the Website's infrastructure, servers, or networks;
  5. attempt to gain unauthorised access to any part of the Website, other user accounts, or Zenutri's systems;
  6. transmit any virus, malware, worm, trojan, or other harmful code;
  7. harvest, scrape, or collect personal information of other users;
  8. use the Website to send unsolicited commercial communications; or
  9. resell, redistribute, or commercially exploit the Goods or Services without Zenutri's prior written consent.

14.Third-Party Services and Links

The Website may contain links to third-party websites, services, or content not owned or controlled by Zenutri, including Shopify (e-commerce platform), Stripe/Shopify Payments (payment processing), Klaviyo (email marketing), RevenueHunt (quiz platform), and Australia Post or other carriers (shipping). Zenutri does not endorse or assume responsibility for such third-party services, their content, privacy practices, or terms of use. Your interactions with third-party services are governed by their respective terms and policies. Zenutri shall not be liable for any loss or damage arising from your use of third-party services.

15. Disclaimers and Exclusion of Warranties

To the maximum extent permitted by applicable law and subject to the consumer guarantees under the ACL:

  1. The Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness.
  2. Zenutri does not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  3. Zenutri does not warrant that the results or recommendations generated by the Quiz will meet your expectations, be suitable for your individual circumstances, or produce any particular health outcome.
  4. To the extent that Zenutri's liability under the ACL for a supply of Goods or Services that are not of a kind ordinarily acquired for personal, domestic, or household use or consumption is limited under section 64A of the ACL, Zenutri's liability is limited, at its election, to: (i) in the case of Goods — replacement, repair, or refund of the purchase price; and (ii) in the case of Services — re-supply or payment of the cost of having the Services re-supplied.

16.Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for the resolution of any dispute, claim, or cause of action arising out of or relating to these Terms, the Website, or the Services.

Notwithstanding the foregoing, Zenutri retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Zenutri's intellectual property rights or confidential information.

17. Dispute Resolution

In the event of a dispute arising under or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to mediation administered by the Australian Disputes Centre (ADC) in Sydney, New South Wales, in accordance with the ADC Mediation Guidelines. The costs of mediation shall be shared equally unless otherwise agreed. Nothing in this clause prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction. This Clause 17 survives termination of these Terms.

18.Force Majeure

Zenutri shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond Zenutri's reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of government, war, terrorism, civil unrest, strikes, lockouts, supply chain disruptions, carrier delays, utility failures, cyberattacks, or failures of third-party service providers. Zenutri will use reasonable endeavours to mitigate the effect of any force majeure event and to resume performance as soon as practicable.

19.Modifications to Terms

Zenutri reserves the right to amend, modify, supplement, or replace these Terms at any time and at its sole discretion. Material changes will be notified to you via email or a prominent notice on the Website at least fourteen (14) days before they take effect. Your continued use of the Website or Services after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cease using the Website and Services and cancel your Subscription.

20. Termination

Zenutri may terminate or suspend your access to the Website and Services, in whole or in part, at any time and without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination: (a) your licence to access and use the Website is immediately revoked; (b) any outstanding orders may be cancelled at Zenutri's discretion; and (c) Clauses 9, 10, 11, 16, 17, and 23 survive termination in full force and effect.

21.Severability

If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions. The invalid provision shall be replaced, to the extent possible, with a valid and enforceable provision that achieves the original intent and economic effect of the severed provision.

22. Waiver

No failure or delay by Zenutri in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver is not effective unless it is in writing and signed by an authorised representative of Zenutri.

23.Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Refund and Returns Policy, and any supplementary terms presented at the point of purchase or Subscription, constitute the entire agreement between you and Zenutri with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

24. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Zenutri's prior written consent. Zenutri may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate restructuring, or sale of assets.

General Notices, Regulatory Compliance, and Fine Print

Regulatory Compliance: Zenutri Pty Ltd (ACN 667 290 137) operates in compliance with the Therapeutic Goods Act 1989 (Cth), the Therapeutic Goods Regulations 1990, the Therapeutic Goods (Therapeutic Goods Advertising Code) Instrument 2021 (TGAC 2021), the Competition and Consumer Act 2010 (Cth) (including Schedule 2 — Australian Consumer Law), the Privacy Act 1988 (Cth) and the Australian Privacy Principles, the Spam Act 2003 (Cth), and the Electronic Transactions Act 1999 (Cth). Zenutri is not a registered health practitioner, pharmacy, or medical provider.

TGA Listing: Zenutri products bearing an "AUST L" number are listed medicines on the Australian Register of Therapeutic Goods (ARTG). Listed medicines are assessed by the TGA for quality, safety of ingredients, and that permitted indications are used. They are not individually approved by the TGA for efficacy prior to listing. AUST L numbers are published on the TGA's public ARTG database and are accurate as at the date of these Terms.

No Guarantee of Health Outcomes: Zenutri does not guarantee any specific health outcome, improvement, or result from the use of its products or recommendations. Individual results may vary. Vitamins and supplements are intended to supplement, not replace, a balanced diet and healthy lifestyle.

Product Availability: All products and Bundles are subject to availability. Zenutri reserves the right to discontinue any product or Bundle without prior notice. Where a product included in your Subscription is discontinued, Zenutri will notify you and may offer a suitable alternative or adjust your Subscription accordingly.

Allergen Warning: Some Zenutri products may contain or be manufactured in facilities that handle allergens including but not limited to shellfish, soy, gluten, dairy, egg, tree nuts, and fish oil derivatives. Always read the product label and ingredient list before use. If you have a known allergy, consult your healthcare professional before use.

Storage: Store all supplements as directed on the product label. Keep out of reach of children. Do not use if the tamper-evident seal is broken or missing.

Australian Consumer Law Notice: Nothing in these Terms purports to exclude, restrict, or modify any right or remedy, or any guarantee, condition, or warranty implied or imposed by the ACL or any other applicable law that cannot lawfully be excluded or restricted. If Zenutri's liability for breach of a condition or warranty implied by the ACL is able to be limited, Zenutri's liability is limited, at Zenutri's option: (a) in the case of goods — the replacement of the goods or the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or of acquiring equivalent goods, or the payment of the cost of having the goods repaired; or (b) in the case of services — the supplying of the services again, or the payment of the cost of having the services supplied again.

Currency and Taxation: All amounts are expressed in Australian Dollars (AUD) unless otherwise indicated. Prices are inclusive of GST where applicable. International customers are responsible for any customs duties, import taxes, or additional charges imposed by their local jurisdiction.
